1. Agreement
These terms govern use of ToxLumen. Where your organization has signed a separate written agreement with us, that agreement controls and these terms fill its gaps. By using ToxLumen you accept these terms. If you are accepting on behalf of an organization, you confirm that you are authorised to bind it.
2. Who May Use ToxLumen
ToxLumen is for qualified healthcare professionals and for the poison centers, clinical services and institutions that employ them. It is not for the general public and it is not a consumer health service. You must be 18 or older.
3. Professional Responsibility
This is the most important term in this document. ToxLumen supports clinical work. It does not perform it. Every output — drafted facts, analysis, guidance, safety alerts, the note — is a draft for review by a qualified clinician, who remains solely responsible for the clinical decision, the disposition and the record. • ToxLumen is not a medical device, is not FDA-cleared, and must not be represented as either. • It does not diagnose, prescribe, or determine disposition. • The knowledge library and clinical tools are reference material. They do not replace clinical judgement, local protocol, or a regional poison center consultation. • Nothing in the product creates a clinician-patient relationship between Medical Toxicology LLC and any person.
4. Accounts, Organizations and Seats
Your organization owns its workspaces and controls its members' roles. Seats are per person and must not be shared, and your credentials are your responsibility. Tell us promptly if you believe an account has been compromised. Owners and Admins can see member activity, including watching a Live Call in progress. An organization deploying ToxLumen should make its staff aware of that.
5. Plans, Credits and Payment
• Plans are sold per product. Simulation is licensed separately from the clinical platform and carries its own credit purse; training never draws on clinical credits. • Credits meter AI actions and are priced from measured provider usage. Tools and the knowledge library are free on every plan, with one exception: ToxSOAP's AI assessment consumes credits. • Credits are pooled at organization level, recharge at the start of each billing cycle, and do not roll over. A negative balance carries into the next cycle. • Credit top-up packs are available and do not change your plan. • Fees are billed in advance and, except where the law requires otherwise, are non-refundable. • We may change pricing on notice, effective at your next billing cycle.
6. Your Data and Your Content
You keep all rights in your case data and content. You grant us only the licence needed to host, process and display it in order to deliver the service, and nothing broader. We do not use your case data to train AI models, and we do not use it for advertising. You are responsible for having the legal basis and any consent required to enter patient information, and for any recording or transcription notice your jurisdiction requires.
7. Acceptable Use
You must not: • use ToxLumen to provide direct-to-patient medical advice as though it were a clinician; • enter data you have no lawful basis to process; • share seats, resell access, or expose the product to unauthorised users; • extract the knowledge library, the tool rule sets or the question bank in bulk, or use them to build a competing product; • reverse-engineer, probe, or interfere with the service or its security controls; • rely on Live Call as an emergency communication channel. It is a documentation tool, not a telephone line, and must never stand in place of emergency services.
8. Simulation
Simulation is a training environment. Scenarios are fictional and must not contain real patient information. Training records belong to the organization and are exportable. Scores are a training signal: they are not a certification, a licence, or a competency determination, and we make no representation that use of Simulation satisfies any accrediting body's requirements.
9. Availability and Support
We aim for high availability but do not guarantee uninterrupted service unless a separate written service-level agreement says so. We may carry out maintenance, and will give notice of planned downtime where practical. Features may change. We will not remove a material feature of a paid plan mid-term without notice.
10. Third-Party Services
ToxLumen depends on third-party AI, hosting and payment providers. Their failure, or a change in their terms, may affect the service. We select them with care and bind them contractually, but we do not control them.
11. Intellectual Property
Medical Toxicology LLC owns ToxLumen, its tools, its knowledge library, its question bank and its content, except for your data and content. During your subscription you have a non-exclusive, non-transferable right to use the service. Feedback you give us we may use freely.
12. Disclaimers and Liability
To the maximum extent permitted by law the service is provided "as is", and we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. We are not liable for indirect, incidental, special or consequential loss, or for lost profits or lost data. Our aggregate liability is limited to the fees you paid in the twelve months before the claim. Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by our negligence, or for fraud.
13. Suspension and Termination
You may cancel at any time, effective at the end of the billing cycle. We may suspend or terminate for material breach, for non-payment, or for use that endangers the service or other customers, with notice proportionate to the circumstances. On termination you may export your data during the wind-down window described in section 9 of the privacy policy.
14. Governing Law, Changes and Contact
These terms are governed by the laws of the State of Arizona, United States, without regard to its conflict-of-laws rules. We may update these terms.
